Wellrun

Wellrun Customer Agreement

Version 1.0, in force from 14 October 2026. It replaces the terms of use last updated 13 October 2026.

The short version. This is the agreement between your business and us. Your records are yours. Wellrun holds them so you and the people you choose can use them, and for nothing else. Every account starts with a seven day free trial with no card, and nothing is charged unless you choose a plan. You can leave whenever you like, and we send you a copy of your records first when you ask. We cannot change this agreement against you without telling you a month ahead, and you can leave before any change starts, with a refund of any part of a period you paid for and will not use. Nothing here takes away your rights under the Australian Consumer Law.

Who this agreement is between, and how it is made

This agreement is between Well Run Australia (details at the foot of this page), called "we" here, and the business named when a Wellrun account is set up, called "you". In this agreement, "these terms" means this agreement.

It is made when the person setting up the business ticks the box saying they are authorised to act for it and accept this agreement, and continues to the business. By ticking it, that person confirms they can bind the business. We keep a record of which version was accepted, when, and by which signed-in account.

You are responsible for the people you give a seat to. Each of them must follow "What you must not do" below, and the business, not the seat holder, pays for Wellrun and answers to us for how its seats are used.

What Wellrun is, and what it is not

Wellrun is a place to keep your business's records, registers and procedures in order, to let the people you choose see the parts you choose, and to put together a dated fact pack when you ask for one.

Wellrun does not provide legal, tax, HR, employment, financial, AML/CTF, compliance or appraisal advice. It does not decide whether your business complies with anything, whether it is ready to sell, what it is worth, or whether somebody you share something with is suitable. It repeats back what you record. What a document means for your business is a question for the person qualified to answer it.

What it costs

The trial. Every account starts with seven days free, with no card. During the trial you can put in whatever you like. Preparing your business for sale, which assembles and issues a dated fact pack that you print and hand to your accountant, broker or buyer, is not part of the trial; it unlocks on any plan, and you can choose one on day one. When the trial ends without a plan, everything you recorded stays yours and stays readable, and we will send you a copy on request; adding to it, and preparing a sale, wait for a plan.

Plans. The plans and their prices are on the Your plan screen in Wellrun. Every price is shown as a dollar amount plus GST, and GST is added at checkout. You choose monthly, quarterly or annual payment; quarterly and annual cost less for the same months. A plan is paid in advance and renews automatically for the same length of time until you cancel it. We will never charge an account that has not chosen a plan.

Changing and cancelling. You can change plan, switch how often you pay, update your card or cancel at any time from Manage billing on the Your plan screen. Moving to a bigger plan or a longer period starts straight away, and the difference is charged straight away, less a credit for the unused part of what you had already paid. Moving down to a smaller plan or a shorter period takes effect at your next renewal. If you cancel, your plan runs to the end of the period you have paid for and nothing further is charged. We do not refund the unused part of a period, except where the Australian Consumer Law gives you a right to a refund, which this term does not limit.

Price changes. The price of a period you have paid for never changes. If we change the price of your plan, we will email you at least 30 days before your next renewal at the new price, and you can switch or cancel before it applies.

The founding offer. Choose a plan by 11:59 pm on 31 January 2027, Brisbane time, while the first 100 places last, and you get 30 per cent off your first 12 months: your monthly or quarterly fees for the first 12 months, or your first annual payment. It is applied at checkout. From the first payment after those 12 months, the plan renews at its full price as shown on the Your plan screen. A place is taken when a business pays for its first plan at the founding offer. Cancelling and starting again does not restart or extend the 12 months, and once the date has passed or the 100 places are taken, a new subscription is at the full price.

The sale pack. Issuing a fact pack for a sale is paid for separately, per business and per sale, at the price shown on the Prepare my business for sale screen, with a discount on an annual plan, and one a year is included with the 15 seat and 30 seat plans paid annually. For 90 days after you issue it, updated versions of that pack are free; after that, a refresh is charged at the price shown. We tell you the date the free updates end before you issue.

Failed payments. If a payment fails, Stripe will try again and email you. If it stays unpaid, the plan ends and the account works as it does after a trial until it is paid.

Accounts opened before paid plans. Nothing was charged to any account before paid plans opened on 30 September 2026, and nothing is charged to one now unless you choose a plan.

Card payments are handled by Stripe, which sends the confirmations, tax invoices, receipts and any failed-payment notices. Wellrun never sees your card number.

Signing in, and the people you let in

Wellrun signs you in with a link sent to your email address. There is no password. That means anybody who can read your email can sign in as you, so keep that inbox secure.

You are responsible for keeping secure the email accounts, phones, computers and authenticator apps that you and the people you let in use to sign in. We strongly recommend that every owner and administrator turns on two-step verification, under Security in Wellrun, so that a code from an authenticator app is needed as well as the email link. It is optional. We are not responsible for loss that happens because somebody signed in through an email account, device or authenticator app on your side that was compromised, or because you gave somebody access, unless we caused or contributed to it. Tell us straight away at hello@wellrun.com.au if you think somebody has signed in who should not have.

You decide who has a seat and which groups of sections each seat can open. You are responsible for the people you invite and what you allow them to see. You can pause somebody or end their access on Your team at any time, and it takes effect straight away. An adviser's seat opens only the documents in the groups of sections you tick and never opens People.

What you put in

Everything you put into Wellrun stays yours. You let us hold it, copy it as needed to keep it safe, and show it to you and to the people you give access to, for one purpose: running Wellrun for you. We do not sell it, and we do not use it for anything else. How we handle it is set out in the privacy policy.

Some of what you record is about other people, most of all your staff. You are responsible for having a proper reason to hold it and for keeping it accurate. Records filed under People can never be opened by an outside adviser and can never be put in a pack for someone outside the business.

For now, do not upload tax file number declarations, superannuation choice forms or police checks. Wellrun is not yet ready to hold them to the standard they need. We will tell you in writing when it is.

Until we tell you otherwise, keep your own copy of anything you could not afford to lose. Wellrun is in its first release, and a second copy you control is the sensible thing for any record that matters.

What you must not do

Do not use Wellrun to break the law or to hold anything you have no right to hold. Do not try to reach records that are not yours, test or get around the security, overload the service, copy it, or put anything harmful into it. Do not let anyone use your seat. If you find a security problem, tell us at hello@wellrun.com.au and do not use it.

What we do

We run Wellrun with due care and skill, hold your records in Australia as the privacy policy describes, and tell you about anything that affects your records as soon as we reasonably can. Wellrun may sometimes be unavailable while we fix or improve it; where we can see that coming, we will say so ahead of time. If something goes wrong with your records, we will tell you what happened and what we are doing about it.

Changes

We improve Wellrun over time. We will not remove or materially reduce a part of Wellrun you use during a period you have paid for, unless the law requires it; if we have to, you can leave with a refund of the part of that period you will not use.

A change to this agreement is worse for you if it adds or raises a charge, takes away or reduces a part of Wellrun you use, or reduces what we must do for you. If we change these terms in a way that is worse for you, we will email you at least 30 days before the change starts, and you can close your account before then at no cost, and we will send you a copy of your records first and refund the part of any period you paid for and will not use. We email every other change too, and it can start when it is published here, because it does not take anything from you. Each change gets a new version number; the version and the date it came into force are at the top of this page, and we keep a copy of every earlier version and send it to you on request.

Leaving, and when we can close an account

You can close your account whenever you like. Email privacy@wellrun.com.au from the address you sign in with. If you want a copy of your records first, say so in the same email and we will send it to that address before anything is closed. Seats stop working when the account closes. What we keep after that, and for how long, is in the privacy policy.

We will only suspend or close your account if you seriously or repeatedly break these terms, if we must by law, or if continuing would put other customers' records at risk. Unless the matter is urgent or the law prevents it, we will tell you why and give you 14 days to put it right first. If we ever stop offering Wellrun, we will give you at least 60 days' notice and a copy of your records. If we close your account for any reason other than your serious or repeated breach, or stop offering Wellrun, we refund the part of any period you paid for and will not use.

Your rights under the Australian Consumer Law

Wellrun comes with guarantees that cannot be excluded under the Australian Consumer Law, including that it will be supplied with due care and skill. Nothing in these terms excludes, restricts or changes those guarantees or your rights under them.

Wellrun is a service for running a business and is not of a kind ordinarily acquired for personal, domestic or household use. So, where the law allows it and it is fair and reasonable, if we fail to meet a guarantee our liability is limited to supplying the service again or paying the cost of having it supplied again.

If something is wrong

Tell us at hello@wellrun.com.au. We aim to reply within two business days and to put things right quickly. For anything about your personal information, the privacy policy explains how to complain, including to the Office of the Australian Information Commissioner.

The law that applies

These terms are governed by the law of Queensland, Australia, and the courts of Queensland and the courts that hear appeals from them can decide any dispute about them.

A note on names, outside the agreement: where version 1.0 says "fact pack" it means the sale pack, the same dated document Wellrun now calls a sale pack everywhere else. The screen it names, Prepare my business for sale, is unchanged.

A note on the trial, outside the agreement: from 20 October 2026, a business that fills in three sections while its seven day trial is running gets seven more days free, fourteen from sign-up in all, once. A section counts once it holds one saved record or one document. This gives you more than the trial the agreement describes and takes nothing away, so version 1.0 is unchanged.
