When you sell

When you're ready to sell, start from what is already written down.

Most of what a buyer asks about is not in your accounts. Whose name the licences are in. Who holds the login to the alarm, the accounts file and the website. Which vehicles are on finance. When the option on the lease closes.

Xero and MYOB hold your numbers and job software holds your jobs. Wellrun holds this part, and when you decide to sell it turns what you have recorded into one dated sale pack.

7 days free, no card. Fill in three sections and you get 7 more. If you choose a plan, from $39 plus GST a month, renewing until you cancel.

Why Wellrun was built

Records that are a mess can cost a year or two.

Tony Pope built Wellrun after working as a business broker in Queensland. The same thing kept happening: an owner decided to sell, and the first weeks went on finding out whose name things were in and where the paperwork was.

When the finances or the records are mixed up, a broker may tell an owner to separate them, get them in order and come back in 12 to 24 months. Wellrun lets you start that work now, a section at a time, while you are still running the business.

The sale pack

One dated document of what the business holds

When you sell, you issue a sale pack from Wellrun: one dated document of what the business holds, read and signed off by someone other than you, for $995 plus GST per sale, or $795 plus GST on an annual plan, with free changes for 90 days.

  1. 01

    Write it down

Licences and their dates, logins and whose name they are in, the lease, the plant, how the work runs. One section at a time, on your phone.

Free for 7 days, 7 more for three sections

  2. 02

    Someone else reviews it

A named person who is not you reads what you hold and puts their name on it. If that is your accountant, their seat is free for as long as your account is open.

    Free seat for your accountant

  3. 03

    Issue your sale pack

A single dated document for a buyer, a broker or a bank. Change anything for 90 days after you issue it, free.

$995 plus GST, once per sale

The padlock opens on any plan. The free trial records everything and cannot issue a pack. On an annual plan the pack is $795 plus GST, and the 15 and 30 seat annual plans include one a year. After 90 days a refresh is $395 plus GST.
  1. 01Record as you goLicences, policies, vehicles, logins, the lease and the people, a section at a time. Every field saves as you type.
  2. 02Watch the countWellrun counts what you hold against the eleven documents a sale pack is built from. Nine of eleven, never a score.
  3. 03Fill the gapsBefore the pack goes out, every record still missing an answer is listed for you. It flags them and leaves the choice with you.
  4. 04Have it signed offSomeone other than you reads the pack and puts their name and capacity on it before it can be issued.
  5. 05Hand it overPrint it and hand it to your accountant, your broker or your buyer. It is dated, and the wording is fixed at issue.

What the sign-off means: the person who signs has read the pack and puts their name and capacity on it. It is not an audit, a verification or a professional opinion on the business, and nothing in it is recalculated. The pack says so on its first page.

  8. 08A stock countDated. Whether stock on hand is a number or an estimate.
  9. 09Where the revenue comes fromYour top ten customers and the share each represents. Concentration is one of the first things a buyer asks about, and the answer is a number you already have.
  10. 10One job, written down end to endEnquiry through to invoice, in enough detail that somebody else could follow it.
  11. 11Every system has a named holderWhose name each account is in, and where a reset code goes. The two that decide whether it can be handed over.

You cannot assemble the pack until you hold enough to fill it, and somebody other than you has to read it and put their name on it before it goes anywhere.

Licences, state by state

Most trade licences do not come with the business

Building, electrical and plumbing licences are issued by each state and territory, and in most cases a buyer needs their own licence or a licensed nominee before they trade. In Wellrun you record which state each licence belongs to and what happens to it on a sale.

Who sees it

Your records, your pack, your choice

We will not tell you what your business is worth.

Nobody honest will tell you that from a website. Wellrun never adds up a column of your numbers: you state an amount and attach the document behind it, and your accountant does the arithmetic.

Wellrun is bought and run by the owner. Your accountant, your broker or a buyer sees nothing unless you give them a seat, hand them the sale pack yourself or share it with them by name, and Wellrun passes nothing to any broker.

Sharing your pack with your broker, or anyone else

Once a pack is issued, you can share it with one person you name: a broker, an accountant, a buyer's adviser or a buyer. You choose 7, 14 or 30 days and tick a box naming them, and nothing is shared without that tick. They get one email with a link to the pack, read only and printable, and nothing else from your records. You see each time it is opened and can stop the link at any time. Sharing is never a default and never a condition of a plan, a discount or the free seat.

Wellrun was built by Tony Pope, who also works as a business broker. You can share with any broker you choose, or none. Nobody is told you use Wellrun unless you share.

Wellrun never values a business. Any appraisal is the broker's own service.
